01Agreement
These Terms of Use ("Terms") govern access to Zuzora Technologies Inc.'s website, client services, and authorized integrations (collectively, the "Services"). By using a Service, you agree to these Terms. A signed order form, service agreement, or statement of work may add or replace terms for a particular engagement.
02Services and authority
Zuzora provides implementation, automation, operational, and advisory services to businesses. Some integrations are internal infrastructure and are not public self-service products.
You must be legally able to enter these Terms and authorized to act for any organization, data, or account you connect or direct us to use.
03Connected accounts
You authorize Zuzora to access and process connected-account data only as needed to provide the agreed Service. You are responsible for approvals, account accuracy, user access, and keeping credentials secure.
Client connections use client-specific authorization and credentials. Zuzora does not intentionally combine one client's connected data or tokens with another client's environment.
04Acceptable use
You may not use the Services unlawfully; interfere with their operation; bypass security or access controls; access data without authority; introduce malicious code; or copy, resell, or reverse engineer protected components except where applicable law permits.
05Ownership and data
You retain ownership of data you provide or authorize us to access. Zuzora and its licensors retain ownership of the Services, software, methods, documentation, and related intellectual property. Rights in client deliverables are governed by the applicable written agreement.
06Third-party services
The Services may depend on providers you select or approve, including accounting, banking, card, cloud, artificial-intelligence, and productivity platforms. Those services are governed by their own terms and may change or become unavailable. Zuzora is not responsible for a third party's independent acts, outages, or policies.
07Human review and professional advice
Automation may prepare, classify, summarize, or recommend actions. You remain responsible for approvals, money movement, filings, legal commitments, and decisions requiring professional judgment unless a written agreement expressly says otherwise.
Zuzora does not provide legal, tax, audit, or regulated accounting advice unless that service is expressly provided by a qualified professional under a written agreement.
08Suspension and termination
We may suspend or end access when reasonably necessary for security, legal compliance, non-payment, material breach, provider restrictions, or protection of the Services. You may stop using a Service and disconnect authorized accounts, subject to any written agreement and outstanding obligations.
09Disclaimers and liability
To the extent permitted by law, the Services are provided "as is" and "as available." We do not promise uninterrupted operation or that every error, omission, or external-system problem will be detected.
To the extent permitted by law, Zuzora is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. Zuzora's total liability relating to a Service will not exceed the fees paid to Zuzora for that Service during the six months before the event giving rise to the claim.
10General
These Terms are governed by the laws of British Columbia and the applicable laws of Canada. Courts located in British Columbia have exclusive jurisdiction, unless applicable law requires otherwise.
We may update these Terms by posting a revised version and effective date. If any part is unenforceable, the remaining terms continue. A failure to enforce a term is not a waiver.
